Welcome to FlyerForge AI ("FlyerForge," "we," "us," or "our"), operated by The Concept 99 Group at flyerqr.com. These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or otherwise using FlyerForge AI, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We may update these Terms from time to time. When we make material changes, we will notify you by posting the revised Terms on this page and updating the effective date above. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. Description of Service

FlyerForge AI is an AI-powered flyer design tool that enables users to:

• Generate professional backgrounds using AI image generation technology.
• Design flyers with drag-and-drop text layers, rich fonts, and customizable layouts.
• Embed replaceable QR codes that link to any destination URL.
• Track QR code scan analytics, including total scan counts and timestamps.
• Export finished flyer designs as PNG images.

The Service may evolve over time. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your login credentials secure and confidential.
• Notify us promptly at support@ideaequity.ai if you suspect unauthorized access to your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Create, distribute, or promote content that is unlawful, defamatory, obscene, threatening, harassing, or that infringes on the rights of others.
• Generate flyers or QR codes that direct users to malicious websites, phishing pages, or malware distribution points.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the integrity or performance of the Service, its servers, or connected networks.
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems.
• Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
• Reverse-engineer, decompile, or disassemble any part of the Service.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing content, suspending accounts, and reporting offenders to law enforcement.

5. Intellectual Property

5.1 Your Content

You retain full ownership of the flyer designs, text, images, and other content you create using the Service ("User Content"). By using the Service, you grant FlyerForge a limited, non-exclusive, worldwide, royalty-free license to host, store, and process your User Content solely as necessary to provide and improve the Service.

You represent and warrant that you own or have the necessary rights to all User Content you create or upload, and that your User Content does not infringe on the intellectual property rights of any third party.

5.2 Our Platform

The Service, including its design, code, algorithms, AI models, user interface, graphics, logos, trademarks, and all underlying technology, is and remains the exclusive property of FlyerForge AI and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

The FlyerForge name, FlyerForge AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FlyerForge AI. You may not use such marks without our prior written permission.

6. Payment and Subscriptions

6.1 Plans

FlyerForge AI offers the following subscription plans:

• Free Plan ($0/month): Includes AI flyer generation, QR code embedding, and the canvas text editor. Free plan flyers include a FlyerForge watermark and PNG downloads are not available.
• Pro Plan ($9/month or $84/year): Includes everything in the Free plan, plus watermark removal, PNG downloads, cloud saves, and priority support. The yearly plan offers a discounted rate of $7/month billed annually.

6.2 Billing

Pro plan subscriptions are billed monthly on a recurring basis. By subscribing to the Pro plan, you authorize us to charge your chosen payment method on each billing cycle. All fees are stated in US dollars and are non-refundable except as required by applicable law.

6.3 Price Changes

We may change our pricing at any time. If we change pricing for a plan you are subscribed to, we will provide you with at least 30 days' notice before the new price takes effect. Your continued use of the paid plan after the price change constitutes your agreement to the new price.

6.4 Cancellation

You may cancel your Pro subscription at any time through your account settings. Upon cancellation, you will retain access to Pro features until the end of your current billing period, after which your account will revert to the Free plan.

7. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Grounds for termination include, but are not limited to:

• Violations of these Terms or any applicable law.
• Conduct that we believe is harmful to other users, third parties, or the business interests of FlyerForge.
• Extended periods of account inactivity.
• Requests by law enforcement or government agencies.

You may terminate your account at any time by contacting us at support@ideaequity.ai. Upon termination, your right to use the Service ceases immediately. We may, at our discretion, delete your User Content and account data after termination.

Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and governing law.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, FlyerForge AI disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• The results obtained from the Service will be accurate or reliable.
• AI-generated content will be free from defects, biases, or inaccuracies.
• Any errors in the Service will be corrected within a specific timeframe.

You use the Service at your own risk. You are solely responsible for any damage to your device or loss of data that results from your use of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLYERFORGE AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

In no event shall our total aggregate liability to you for all claims relating to the Service exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless FlyerForge AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your User Content.
• Your violation of these Terms.
• Your violation of any rights of a third party, including intellectual property rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts and waive any objections based on venue or inconvenient forum.

Before filing any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at support@ideaequity.ai. We will attempt to resolve the dispute informally within 30 days of receiving your notice.

12. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlyerForge AI regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Notices: We may provide notices to you via email, in the Service, or by posting on our website. Notices to us should be sent to support@ideaequity.ai.
